1. Agreement to Terms

By accessing or using GrandMastersUniverse ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.

These Terms apply to all users, including school owners, instructors, students, parents/guardians, and visitors.

2. Description of Service

GrandMastersUniverse is a software-as-a-service (SaaS) platform designed for martial arts school management. Our services include:

• Student and family management
• Class scheduling and attendance tracking
• Belt rank and promotion management
• Event organization and registration
• Billing and payment processing
• Communication tools and announcements

3. User Accounts

3.1 Account Creation

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3.2 Account Types

• School Owners: Responsible for their school's account, data, and compliance
• Instructors: Staff members with permissions granted by school owners
• Students/Members: Individual users enrolled in a martial arts school
• Parents/Guardians: Adults managing accounts for minor children

3.3 Minor Users

Users under 18 years of age must have their account managed by a parent or legal guardian. The parent/guardian is responsible for the minor's use of the Platform and compliance with these Terms.

4. Subscription and Payments

4.1 Subscription Plans

School owners subscribe to our service on a monthly basis. The subscription fee is charged at the beginning of each billing cycle.

4.2 Free Trial

We offer a 30-day free trial for new schools. No credit card is required to start the trial. At the end of the trial, you may subscribe to continue using the service.

4.3 Payment Processing

Payments are processed through Stripe. By providing payment information, you:

• Authorize us to charge the applicable fees
• Agree to Stripe's terms of service
• Confirm you have authority to use the payment method

4.4 Student Payments

School owners may use the Platform to collect payments from their students. School owners are responsible for:

• Setting appropriate fees and billing schedules
• Communicating payment terms to their students
• Handling refunds and disputes with their students
• Compliance with applicable payment regulations

4.5 Refunds

Subscription fees are non-refundable except where required by law. If you cancel your subscription, you will continue to have access until the end of your current billing period.

5. Acceptable Use

You agree not to:

• Use the Platform for any illegal purpose or in violation of any laws
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Platform or other accounts
• Interfere with or disrupt the Platform's operation
• Collect or harvest user data without authorization
• Impersonate another person or entity
• Use the Platform to send spam or unsolicited communications
• Violate the intellectual property rights of others
• Share your account credentials with others
• Create multiple accounts for fraudulent purposes

6. School Owner Responsibilities

As a school owner, you are responsible for:

• Ensuring your use of the Platform complies with all applicable laws
• Obtaining necessary consents from students and parents
• Protecting student data and maintaining confidentiality
• Accurate representation of your school and services
• Managing your staff's access and permissions appropriately
• Handling student inquiries, complaints, and disputes
• Maintaining appropriate insurance for your martial arts school

7. Intellectual Property

7.1 Our Property

The Platform, including its design, features, content, and underlying technology, is owned by GrandMastersUniverse and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

7.2 Your Content

You retain ownership of content you upload to the Platform. By uploading content, you grant us a license to use, store, and display that content as necessary to provide our services.

7.3 Feedback

If you provide feedback or suggestions about the Platform, we may use them without any obligation to you.

8. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

School owners are data controllers for student information they collect. We act as a data processor, handling data according to school owner instructions and our Privacy Policy.

9. Disclaimers

9.1 Service Availability

The Platform is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time.

9.2 No Warranties

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.3 Martial Arts Activities

We are a software platform and are not responsible for martial arts instruction, training, or physical activities. School owners and instructors are solely responsible for the safety and quality of their programs.

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for actions or content of third parties, including school owners and other users

11. Indemnification

You agree to indemnify and hold harmless GrandMastersUniverse and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

12.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Pose a security risk to the Platform or other users

12.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. You may request export of your data within 30 days of termination. After 90 days, your data will be deleted.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be:

• First attempted to be resolved through informal negotiation
• If unresolved, submitted to binding arbitration
• Governed by the laws of the jurisdiction where GrandMastersUniverse is incorporated

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the new Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and GrandMastersUniverse
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign your rights without our consent
